The delay in compliance was not due to willful neglect but rather to Reasonable Cause stemming from the serious illness subsequent death and sole operational control of the Foundations Secretary and Chief Financial Officer. The Foundations compliance and financial operations were the sole responsibility of Loren B. Kellogg who served as Secretary and Chief Financial Officer. Loren B. Kellogg was the only individual with access to the Foundations bank accounts financial records and regulatory credentials. Upon Loren B. Kelloggs death on March 28 2024 see attached Death Certificate the Foundation was left without any officer capable of executing financial or tax duties. This event created an immediate administrative vacuum that prevented timely compliance. Please see attached letter and evidence. Thank you for your consideration.
