The amounts given to the departments is based on the gaming profits at each site after expenses not to exceed 50% each quarter of the year. Applicants for membership are considered on probation during their first year of services and do not have any status of rights as a Member. Members of the corporation are utilized as the volunteer firepersons. Members must be at least 18 years of age and of good moral character, have completed 1 year of probationary membership, and have been approved as a Member. Form 990, Part VI, Section A, line 7a The Members have the power to elect each of the five Board of Directors. Form 990, Part VI, Section A, line 7b Each member shall be entitled to one vote on membership matters properly submitted to a vote of the Members by the Board of Directors. A committee of Members shall be appointed by the Board of Directors to receive, review, and recommend approval or denial of membership applications. Applications for membership shall be submitted to the entire membership of the Corporation. A simple majority vote of those present and voting, provided a quorum exists as hereinafter defined, shall elect an applicant to membership in the Corporation. The bylaws may be amended, or new bylaws maybe be adopted, by the affirmative vote of not less than 51% of the Corporation's Members. Form 990, Part VI, Section B, line 11b A copy of the Form 990 is provided to the board of directors prior to filing. Form 990, Part VI, Section B, line 12c In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the Directors of the committee considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the Board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining Board or committee members shall decide if a conflict of interest exists. Form 990, Part VI, Section B, line 15a The board of directors established compensation for Fire Chief Steve Baron in October of 2021. The process for determining the salary included review of the open records and available data from both the local area and the State of North Dakota as a whole. The discussion and approval was documented in the board meeting minutes. Form 990, Part VI, Section C, line 19 The organization makes the governing documents, conflict of interest policy and financial statements available upon request.
