Form 990, Part VI, Section B, Line 11b A full copy of the Form 990 is provided to the entire board prior to filing with the Internal Revenue Service. Form 990, Part VI, Section B, Line 12c Directors, officers and key persons must disclose to the best of their knowledge all potential conflicts of interest as soon as they become aware of them and always before any actions involving the potential conflict are taken. They submit a signed, written statement disclosing all the material facts to the Board. After there has been disclosure of a potential conflict and after gathering any relevant information from the concerned director, officer or key person, the Board, or any designated subcommittee created by the Board, shall determine whether there is a conflict of interest. The director, officer or key person shall not be present for deliberation or vote on the matter and must not attempt to influence improperly the determination of whether a conflict of interest exists. If the Board or its designated subcommittee determines that there is a conflict of interest, it shall refer the matter for a Board vote. Form 990, Part VI, Section C, Line 19 The organization makes its governing documents, conflict of interest policy, and financial statements available upon request. The organization was under the impression that someone would file an automatic extension but it did not happen. Every effort will be made to file the extension for the 2025 return on time and for all future returns.
