Facilitation includes purchase and delivery of goods and / or services to specific homes (primarily those in Russia), inspection of the homes for adherence to program policies, etc. Surprise visits to homes for these inspections are a part of the services provided as well. Another element is initial assessment of proposed or existing homes to verify validity and viability of the home including its location, presence of children, presence of adequate and competent caregivers and director(s), proximity to medical care and schools, etc. Includes budget analysis, collection and analysis of all receipts, photos, children's profiles, etc., etc. as well as reporting to sponsoring entities. In both foreign countries and the U.S. children are given special education on the importance of parenting and the value of a nuclear family. It is our intention to utilize an internet based virtual office as a depository for board review and approval. Form 990, Part VI, Section B, Line 12c t is the policy of Lifeline of Hope to ensure that it operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax exempt status. To this end, periodic reviews regarding potential conflicts of interest will be conducted. The periodic reviews shall, at minimum, include the following subjects: A) Whether compensation arrangements and benefits are reasonable, based on competent survey information (if reasonably available), and the result of arm's length bargaining. B) Whether partnerships, joint ventures, and arrangements with management organizations, if any conform to Lifeline of Hope written policies, are properly recorded and reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement or permissible private benefit or in an excess benefit transaction. When conducting periodic reviews as provided herein, Lifeline of Hope, may, but need not, use outside advisors. If outside experts are used, their use shall not relieve the Board of its responsibility to ensure that periodic reviews are conducted. An annual Director and Officer Conflict of Interest Statement will be completed, submitted and reviewed by each party respective to their role. If an officer or director states that they are not independent on said statement, that statement shall be reviewed by independent members of the Board or Executive Committee Form 990, Part VI, Section B, Line 15 Description of process for determining compensation, lines 15a and 15b: Executive Compensation Policy - I. Purpose: A) To assure that Lifeline of Hope is able to retain high quality executive leadership by providing reasonable compensation. Persons whose compensation is subject to this policy: A) The CEO's compensation shall be reviewed under this policy. The Chief Operating Officer, The Vice President and ll Key Employees under the IRS definition of a Key Employee as it applies to control of areas of Lifeline of Hope's Programs shall also be reviewed under this policy. Executive Committee: A) The Executive Committee of the Board is authorized to make recommendations to the Board regarding executive compensation. B) Only those members of the Executive Committee who are free of conflicts of interest may be involved in evaluation of executive compensation. C) The Executive Committee should, to the extent reasonably available, rely upon appropriate data as to comparability prior to making it's recommendation, and shall contemporaneously place such data and other reasons for its recommendation(s) in the minutes. If the Executive committee does not have data as to comparability, it shall document any other basis for believing the proposed compensation is reasonable. In the case of dual or multiple roles by those subject to reasonable compensation review, the documented number of hours attributed to each role, as well as reasonably available comparability data, shall be used to determine and review compensation. The Executive Committee shall review and make determinations at least once other evidence that compensation is reasonable, and shall contemporaneously substantiate its deliberation and decision in the minutes.
