By the end of the year, we were preparing to depart Cotonou, Benin, where we had picked up our overseas shipment, for Arde, Chad. We left Cotonou in early January 2024 and began distributing the clothing, shoes, blankets to 30,000 displaced families there from March 18 through 26, 2024. 0 0 0 For our "Urgent aid for El Geneina area West Darfur, we raised $313 in cash. But on April 15, 2023, war broke out in Sudan, resulting among other things in the massacre of the Masalit in El Geneina in April through June of 2023 (our board, membership, and our overseas team are all Masalit, even though our nonprofit serves any Darfuri civilians we can, regardless of tribe). Our El Geneina team had to flee El Geneina for their lives, arriving in Adre, Chad. Form 990, Part III, Line 2 Shortly after the war in Sudan broke out on April 15, 2023, we began raising money for our new project, "Support for Displaced Families in West Darfur/Chad" on Global Giving, the well-known crowdfunding site for charities. We raised $627,386 in donated clothes, shoes, blankets and household items, and $26,976.79 in cash for this project. Our container of these donated items arrived at Cotonou, Benin in late August 2023. We distributed them in Adre Chad from March 18 through 26, 2024. Form 990, Part III, Line 3 This was our first shipment of donated items from the US to one of our areas of aid distribution. Normally we bought aid distribution items in those areas in order to save money on shipping. But the war in Sudan that began on April 15, 2023 last year was so brutal to among many others the Massalit people of El Geneina, and that there were no clothes or other items available for purchase in the amounts need, the Darfuri community decided to collect the distribution items in the US and ship them overseas, requiring shipping by boat from Houston, TX to Cotonou, Benin, then overland to Adre Chad, many hundreds of miles to the north east. Form 990, Part VI, Section A, Line 6 The Doroti Organization is a 501 (c) (3) public charity that must answer the 2023 990 Part VI Line 6 because it has members. There is only one class of members. They are entitled to elect directors and vote on certain resolutions, and are not charged any dues. Form 990, Part VI, Section A, Line 7a All Doroti Organization members have the right to vote for directors, who in turn serve on our board. Form 990, Part VI, Section A, Line 7b The following resolutions must be approved by Doroti Organization members in order to take effect: changes to our articles of incorporation; the sale, lease, exchange, mortgage, pledge or other distribution of all, or substantially all, of the corporation's assets; the voluntary dissolution of the corporation; a plan of the distribution of assets from the dissolving corporation; and any other decision requiring such approval by law. Form 990, Part VI, Section B, Line 10b The Doroti Organization directly supervises its local unit, the Doroti Organization team that was in El Geneina Sudan and, from June 2023 onwards (due to the massacre of El Geneina in the Spring of 2023), in Adre, Chad. Our President maintained close contact with them via phone and text messages (sometimes more than once a week), and updated the rest of the board as needed. Prior to this, one of our previous officers explained our bylaws to them in detail over the phone. Form 990, Part VI, Section B, Line 11b The board of directors review and approve the form 990 before filing. Form 990, Part VI, Section B, Line 12c Section Nine of our bylaws describes our compensation and conflict of interest policy. It covers any interested person, including any director, principle officer, member of a committee with governing board powers and any other disqualified person who has a direct or indirect financial interest. Our policy requires all interested persons to disclose any potential or actual conflicts of interest to the board of directors, and then remove themselves from the process. The board then investigates, discusses and votes on whether or not a conflict of interest exists. Next it considers if the nonprofit could use a different transaction to avoid the conflict of interest; if it can find no alternative, it must vote whether or not the conflict of interst transaction "is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable." If, finding that it has not been notified of a potential or actual conflict of interest, the board gives the person concerned a chance to explain themselves, after which presentation that person leaves the process. Next, without the concerned person, the board investigates and decides whether or not the concerned person failed to disclose an actual or potential conflict of interest. All meeting minutes for these proceedings name the interested persons, who disclosed or had a financial interest in the conflict of interest, a description of this financial interest, what was done to determine if it was or was not a conflict of interest, and the board's decision. Also recorded are any alternatives to the conflict of interest transaction, the names of those present, a description of the discussions of the matter, and a record of any votes taken. Compensation is decided upon by the board before it is paid and without the participation of the person to be paid; following the conflict of interest policy and removing any board memeber with a potential or actual conflict of interest from the compensation approval processes. The board also compares the potential transaction to comparable data to ensure the nonprofit would get a fair market value price. Meeting minutes for compensation meetings include the same things as are recorded in the conflict of interest meetings, as well as the terms of the compensation, names of those present, including those who voted and how they voted, and the comparability data, and, if applicable, why the board approved a compensation above or below the comparison data's average compensation for such goods or services, and any actions taken to ensure no board member with a conflict of interest influenced or took part in the proceedings. Form 990, Part VI, Section C, Line 19 The Doroti Organization made its articles of incorporation, byalws (which contains among other things its conflict of interest policy), its Form 1023 with attachments, and its filed series 990 forms available to the public on request. Form 990, Part IX, Line 11g This money was spent on getting our clothing, shoes, and blankets donations from Houtson, TX to Cotonou, Benin by boat. The itemized list is: $5,000 to Abex (maritime shipping company), $140 to the Port Authority of Cotonou, Benin, $6,420 to Maersk, the Cotonou-based shipment storage facility, and $860 to Benin Terminal for shipping services. Total comes to $12,420. We had to readjust our prepaid expenses and inventory totals, reclassify some expenses, clarify our accounting method (not cash method but the cash method with the exception that we track our prepaid expenses).
