Upon completion of the initial draft the return is distributed to the Executive Director and the Treasurer for a detailed line-by-line review against the year-end Profit and Loss statement and Balance Sheet. Part VI, Line 12c The organization monitors and enforces compliance with its conflict of interest policy through a multi-step annual process. At the first Board of Directors meeting of each fiscal year all officers directors and key employees are required to review the policy and sign an annual disclosure statement identifying any potential conflicting interests or outside business relationships. The Secretary and the Executive Director review these disclosure statements to identify any potential areas of concern. During the year if a potential conflict arises regarding a specific transaction or board decision the interested person is required to disclose the material facts to the Board. Per the organizations policy that individual must recuse themselves from the discussion and the final vote on the matter. The minutes of the meeting contemporaneously document the disclosure the recusal and the boards determination as to whether the transaction was in the best interest of the organization and represented fair market value. Part VI, Line 15 The process for determining the compensation of the organizations Executive Director and other key officers is designed to ensure that salaries are reasonable and reflect market value. The following three-step process was followed during the 2025 tax year: Independent Review and Approval: The Board of Directors acting as the authorized body reviews and approves compensation in advance. This review is conducted solely by independent members of the Board who have no financial interest in the compensation arrangement and no family or business relationships with the person being compensated. The interested person is not present during the deliberation or the vote. Use of Comparability Data: To determine the appropriate compensation level the Board obtains and relies upon comparability data. This data includes current compensation surveys and Form 990 data from other non-profit organizations of similar size by gross receipts and assets similar mission educational career development and similar geographic location Maryland Mid-Atlantic region. Contemporaneous Substantiation: The Board contemporaneously documents the deliberation and decision in its meeting minutes. These records include the terms of the approved compensation the date of approval the members present and those who voted the specific comparability data used and how it was obtained and any actions taken by a member who had a conflict of interest. Part VI, Line 19 The organization makes its governing documents conflict of interest policy and financial statements available to the public upon request.
