<ExplanationTxt>Late Filing Penalty Abatement Reasonable Cause Statement ------------------------------------------------------------------------------------ Taxpayer: Senatobia Main Street Chamber of Commerce Inc ---------------------------- EIN: 33-2488337 -------------------------------------------------------------------- Tax Year: 2025 --------------------------------------------------------------------- Return: Form 990-EZ ---------------------------------------------------------------- Penalty: IRC 6652(c) late-filing penalty ----------------------------------------- Date Filed: 08/14/2026 ------------------------------------------------------------- ------------------------------------------------------------------------------------ Senatobia Main Street Chamber of Commerce Inc respectfully requests abatement of the late-filing penalty assessed under IRC 6652(c)(1)(A) with respect to its 2025 Form 990-EZ. The organizations failure to timely file was due to reasonable cause and not willful neglect, and the organization acted in good faith to complete and file the return as promptly as possible once the required information became available. IRC 6652(c)(1)(A) imposes a penalty when an exempt organization fails to file a return required under IRC 6033(a)(1) by the prescribed date or fails to include required or correct information, and provides that there shall be paid by the exempt organization $20 for each day during which such failure continues. The maximum penalty for an organization with gross receipts not exceeding $1,000,000 is limited to the lesser of $10,000 or 5% of gross receipts for the year. For the 2025 tax year, the organization had gross receipts of approximately $104,929. Accordingly, any penalty under IRC 6652(c)(1)(A) would be subject to the statutory limitation applicable to smaller exempt organizations. The organization requests relief under the reasonable-cause exception in IRC 6652(c)(5). IRS guidance confirms that The section 6652(c) penalty is not imposed if it is shown that the failure was due to reasonable cause. I.R.C. 6652(c)(5). ------------------------- Facts Supporting Reasonable Cause --------------------- During the period leading up to the filing deadline for the 2025 Form 990-EZ, the organization experienced unusual and disruptive circumstances that directly affected its ability to gather the required financial information, complete its accounting records, and timely file a complete and accurate return. First, the organizations president unexpectedly resigned following a career relocation. The resignation occurred during a critical transition period and left the organization without the officer-level continuity and institutional knowledge needed to finalize the organizations annual reporting obligations. The presidents unexpected departure disrupted normal internal review procedures, delayed access to certain records, and required the remaining leadership to reassign responsibilities for financial reporting and tax compliance. Second, the community where the organizations headquarters is located and where all board members reside experienced a historic winter storm causing catastrophic damage, power outages, and impossible travel conditions during the same period. As a result, the executive directors ability to coordinate with the organizations officers, obtain missing financial information, and oversee the return preparation process was substantially limited. The organization did not disregard its filing obligations; rather, its ability to complete the return was impaired by circumstances affecting the key personnel responsible for gathering and verifying the information needed for the Form 990-EZ. Third, the organization had recently disaffiliated from a prior organization before becoming its own independent organization. Because of that disaffiliation, the organization had to obtain certain financial data, historical records, and supporting information from the prior organization. The organization made efforts to obtain the necessary records, but the process took longer than expected because the relevant financial information was held or controlled by the prior organization and was not immediately available to the current organizations leadership. The delay was therefore caused by a combination of extraordinary transition-related circumstances: an unexpected leadership resignation, temporary limitations affecting the executive director, and delays in obtaining necessary financial data from the prior affiliated organization. These circumstances were outside the organizations ordinary operating process and directly affected its ability to timely file a complete and accurate Form 990-EZ. ------------------------------------------------------------------- Ordinary Business Care and Prudence ----------------------------------------------- The organization exercised ordinary business care and prudence under the circumstances. Treasury guidance applying the reasonable-cause standard explains that, in general, a taxpayer must show that it exercised ordinary care and prudence in meeting its tax obligations but nonetheless did not comply with the prescribed duty within the prescribed time, and that whether the taxpayer acted reasonably and in good faith is determined based on all the facts and circumstances. 7 Here, the organization did not intentionally delay or ignore its filing obligation. Instead, the organization was attempting to obtain accurate financial data and ensure that the Form 990-EZ was complete and correct before filing. The organization believed it was necessary to obtain the prior organizations financial records and reconcile those records with its own books before submitting the return. The organization acted in good faith by working to gather the required information, address the transition issues caused by the disaffiliation, and complete the Form 990-EZ as soon as practicable. Once the organization obtained sufficient financial information to prepare a complete and accurate return, it proceeded to file the Form 990-EZ. Treasury guidance addressing reasonable cause also recognizes that prompt correction after discovery is an important favorable factor. In one regulatory example, the IRS notes that a taxpayers filing of a missing disclosure shortly after discovering the error and before IRS contact will weigh heavily in favor of relief. Similarly, the organization corrected the filing issue by submitting the Form 990-EZ after the required information became available. The organizations conduct reflects a good-faith effort to comply rather than willful neglect. --------------------------- Corrective Actions Taken ---------------------------------------------------------- The organization has taken corrective actions to prevent a recurrence. These steps include: Assigning responsibility for Form 990-series compliance to a specific officer or board member; Establishing a written annual filing calendar for Form 990-EZ and any required state filings; Requiring management and board review of Form 990-EZ filing deadlines before year-end; Maintaining electronic copies of all financial records needed for annual reporting; Implementing procedures to confirm timely receipt of financial information from any predecessor, related, or former affiliated organization; Requiring confirmation of IRS e-file acceptance after the return is submitted; Coordinating earlier with the organizations tax preparer to identify missing records before the filing deadline. These corrective measures demonstrate that the organization has taken the late filing seriously and has implemented procedures designed to ensure future compliance. ----------------------- Request for Relief ----------------------------------------------------------------- Based on the facts described above, respectfully requests full abatement of the IRC 6652(c)(1)(A) penalty for the late filing of its 2025 Form 990-EZ. The late filing was due to reasonable cause and not willful neglect. The organization acted in good faith, encountered unusual leadership and records-access disruptions, worked to obtain accurate financial information, and filed the return after the necessary data became available. The organization respectfully requests that the IRS remove the penalty in full and issue written confirmation that the organizations account has been adjusted accordingly. -------------------------------------------------- Sincerely, Jamie Sowell, Executive Director</ExplanationTxt>
