Form 990, Part VI, Section B, Line 11b The MSI Board of Directors reviews the IRS form 990 at its annual meeting (normally held in April) prior to the 990 being submitted to the IRS Form 990, Part VI, Section B, Line 12c The MSI Board Chair reminds members of its conflict of interest policy and asks board members to disclose any that may exist. This occurs at the annual meeting and any conflict of interest is discussed and any action to be taken is determined at that time. This process is recorded in the minutes of the meeting. Form 990, Part VI, Section B, Line 15 The MSI Board appoints a Compensation Committee which reviews comparable non-profit salaries, local salaries, local cost of living, etc. The committee reports the findings to the Board who deliberates and determines the appropriate compensation of the President/CEO while he is not present in the meeting.
