All other ASSP staff are eligible for discretionary bonuses based on approval by ASSP's Board of Directors. The Board approves an overall staff bonus pool, which is then distributed to ASSP staff based on annual performance reviews. Form 990, Part VI, Section A, line 4 In May 2024, the membership categories were updated from seven to five and aligned to updated categories. The international and associate membership types were eliminated. Form 990, Part VI, Section A, line 6 American Society of Safety Professionals has five classes of membership: regular, professional, emeritus, honorary, and student. Qualifications for each group vary based on experience, geographic location, and certifications. Regular members, professional members, and emeritus members are eligible to vote on all matters submitted to the membership. Student members are eligible to vote only on the election of Society officers. Honorary members have no vote. Form 990, Part VI, Section A, line 7a All American Society of Safety Professionals members (with the exception of honorary members) in good standing 30 days prior to election are eligible to vote for a new slate of officers at each yearly election. Form 990, Part VI, Section B, line 11b The Form 990 is reviewed by American Society of Safety Professionals' Controller and CFO prior to filing with the IRS. The return is reviewed for clerical accuracy and also reconciled to the audited financial statements. The Form 990 is then reviewed by ASSP's CEO. A copy of the Form 990 is then provided to the Executive Committee and to all members of the governing body before submission to the IRS. Form 990, Part VI, Section B, line 12c In March of every year, each officer, director and employee of the ASSP completes and returns a conflict of interest disclosure. The Board of Directors reviews these records of disclosure at the March meeting to determine whether a conflict exists and, if so, to determine what action should be taken. In addition, the Board is regularly reminded to update their COI as situations arise and any changes are also disclosed at the next board meeting after the disclosure is updated. If a conflict exists, the board member having the conflict of interest would remove him/herself from any discussion of voting on the conflict of interest. The acceptance of such disclosures are made a part of the minutes of the meeting or documented by a mail ballot. The records of disclosure are maintained in ASSP's permanent records. Form 990, Part VI, Section B, line 15 The Board of Directors, through its Executive Committee, engages an independent compensation consultant to review comparability data (including salary surveys and compensation packages from similar organizations) for the Chief Executive (CEO) position. The Executive Committee reviews the data, deliberates, and formally approves the CEO's compensation, with the process and decision documented in meeting minutes. Compensation for other officers and key employees is determined based on compensation review performed by the independent compensation consultant, which involved a review of comparability data for similar roles in the industry. The CEO, with input from this data, recommends compensation adjustments to the Board, which is subject to final review and approval. The overall compensation philosophy and structure is reviewed and approved by the Executive Committee and Board of Directors, ensuring independent oversight and contemporaneous substantiation of the framework. Form 990, Part VI, Section C, line 19 ASSP is committed to transparency. The consolidated statement of activities and consolidated statement of financial position are made public annually in a published annual report.
