Schedule J, Part I, Line 5a Compensation contingent on revenues of the organization UNeMed Corporation provides a bonus for Michael Dixon, Jason Nickla, and Matthew Boehm based on quantitative and qualitative metrics for the year; including license agreements, opportunities created, new invention notifications, number of startups, sponsored research, and gross revenue. The metric contingent upon revenue of the organization is only weighted at 12% of the metric system. The overall decision process has several other metrics observed, as stated above. Form 990, Part VI, Line 12c Conflict of interest policy Each covered person must promptly and fully report to UNeMed's chairman of the Board and/or president, situations that may create a conflict of interest when he or she becomes aware of such situations. In any situation where a covered person is in doubt, full disclosure should be made so as to permit an impartial and objective determination. A written record of the disclosure will be made. In the case where the chairman and/or president have a reporting obligation for a conflict of interest, he or she shall report to the Vice President of UNeMed. In addition to the ongoing disclosure obligation, UNeMed shall annually send to all covered persons a copy of this policy statement and the conflict of interest disclosure statement. The covered persons must promptly complete, sign, and return the statement to the Secretary of UNeMed. The completed statements will be reviewed by the Chairman and/or President or his or her designee(s). The President or the President's designee shall make such further investigation of conflicts of interest disclosures as he or she may deem appropriate. If the conflict involves the President, the Chairman will assume the President's role outlined in this policy. Based on review and evaluation of the relevant facts and circumstances, the President will make an initial determination as to whether a conflict of interest exists and whether, pursuant to this policy statement, review and approval or other action by the Board of Directors is required. A written record of the President's determination, including relevant facts and circumstances, will be made. The President shall then make an appropriate report to the executive committee of the board concerning such review, evaluation, and determination.
