SIA determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. Management believes that SIA has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. Management would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred. The General Counsel of SIA shall be an advisory nonvoting member of the Executive Committee. The Executive Committee shall act as, and exercise all powers of, the Board from time to time between meetings of the Board, to the extent permitted by applicable law, as amended from time to time. Form 990, Part VI, Section A, line 6 There shall be four classes of membership: (A) premium; (B) premium non-voting; (C) standard; and (D) supporting. Premium members shall have the right to vote, serve as officers and directors of SIA, and receive designated premium member benefits. Premium non-voting members shall not have the right to vote, nor shall non-voting premium members be qualified to serve as directors or officers. Non-voting premium members shall have the right to receive designated premium member benefits. Standard members shall not have the right to vote, nor shall representatives of standard members be qualified to serve as officers or directors of SIA. Standard members shall have the right to receive designated standard member benefits. Supporting members shall not have the right to vote, nor shall representatives of firms holding only supporting memberships be qualified to serve as officers or directors of SIA. A copy of the approved return was subsequently sent electronically to the Chairperson of the Board and Treasurer prior to filing. If a conflict is identified, it is brought to the Executive Committee and/or the Board or Directors.
