All awards are reviewed and approved by the Foundations Board or designated committee. Members or stockholder classes and rights Part VI line 6 The Pearl Foundation, Incorporated is a 501(c)(3) organization founded in 1998 by the members of Alpha Kappa Alpha Sorority, Incorporated, Iota Lambda Omega Chapter. The Foundation supports scholarships and community programs consistent with the mission of Alpha Kappa Alpha Sorority, Incorporated. The Foundation has members who elect the Board of Directors and may exercise other rights as outlined in the organizations bylaws. Member election for additional members Part VI line 7a Members of the Board of Directors are nominated and elected by the members of Alpha Kappa Alpha Sorority, Incorporated, Iota Lambda Omega Chapter, in accordance with the Foundations bylaws. Directors serve designated terms and are responsible for overseeing the Foundations programs and fiscal activities. Governing body decisions Part VI line 7b The Foundation is governed by a Board of Directors in accordance with its bylaws. The Board is responsible for oversight of the organizations operations, finances, and programs. Directors are elected to serve specified terms, attend regular meetings, and act in the best interest of the Foundation. Officers are elected by the Board to manage the day-to-day business affairs and ensure compliance with the organizations charitable purpose. Form 990 governing body review Part VI line 11 This is the organizations first year filing form 990 following prior filings of form 990EZ. A formal review process has not yet been implemented; therefore no review of the return was conducted prior to filing. Conflict of interest policy compliance Part VI line 12c The Foundation does not have a formal written conflict of interest policy. However its governing documents and operating practices require directors and officers to act ethically, in good faith, and in the best interest of the organization at all times.
