Central Valley Gender Health & Wellness was a newly formed nonprofit during this fiscal year and was unaware that the IRS had classified the organization as a private foundation. We did not have any income expenses or assets during this short initial period and therefore no program activity took place. Once we were made aware of the requirement to file Form 990-PF under this classification we acted promptly to prepare and submit the return. This late filing was due solely to reasonable cause and not willful neglect and we respectfully request abatement of any penalties.
