The Executive Director serves as an ex-officio member of the Executive Committee. The Executive Committee shall execute and have all of the powers and authority of the Board of Directors in the necessary management of the affairs of the Organization in the intervals between board meetings. Relief and development members - Exempt organizations defined in Article II, Section 2 of the Bylaws. Each relief and development member is entitled to vote in an election of directors and on any other matter requiring membership approval under the District of Columbia Nonprofit Corporation Act (the Act), the Articles of Incorporation, or the Bylaws. 2. Associate Members - Organizations defined in Article II, Section 3 of the Bylaws. Associate members play an active role in implementing and furthering the mission of the organization. Each associate member is entitled to vote in an election of directors and on any other matter requiring membership approval under the Act, the Articles of Incorporation, or the Bylaws. All board positions requiring re-election or replacement will be nominated by the board itself and presented to the Members for approval as a slate. In addition, board members are required to bring any potential conflicts that arise over the course of the year to the attention of the Executive Director or the Board Chair. If a conflict of interest is determined to exist, the board member with the conflict would recuse him/herself from any board decision-making process, and the recusal wold be reflected in the board minutes.
