The following changes were made:1) The purpose of the Organization has been extended to include the mission to serve, advocate and promote as the trusted voice for our business community.2) The election process has been revised to remove Judges appointed by the Chairperson and include the Executive Board to now oversee the election process and that, if unforeseen circumstances arise making an annual election difficult, the Executive Board may vote to keep the current slate of officers in place for another year.3) The nominations of candidates for directors has been amended to omit the requirement to have petitions bearing at least 20 qualified members.4) The Executive Board has now been amended to include Vice Chairs as appointed.5) The duties of the Treasurer have been revised to include that each month the Executive Board will review the financial statements provided by the Treasurer line by line.6) The duties of the Secretary have been revised to provide minutes of any meeting to the Executive Board not less than 3 working dates before the next scheduled Board meeting.7) The President/CEO has been changed from a voting member to a non-voting member. 8) The preparation of the budget has been amended to have the Executive Board and not a Budget Committee assist the President/CEO in the budget preparation.9) The monthly meetings of the Executive Board have been amended to include virtual meetings and that a maximum of three meeting cancellations per year are allowed with majority approval by the Executive Board.10) The absence of any Board Director from meetings has been changed from 3 to 4 meetings and to include that the Director will notify the President/CEO of their absence within 24 hours prior to the board meeting. After 4 absences, the Executive Board will send a written letter notifying the Director of a review of their adsences.11) Board Members voting by proxy has now been amended to include email, phone message or text. 12) The conflict of interest clause for the Board of Directors has been changed from fully disclose at the earliest convenience to by the next board meeting a perceived or actual conflict of interest.13) A new clause has been added to the Board of Directors code of ethics - Principles of integrity, professionalism, privacy and impartiality should be observed when posting online or on social media platforms.14) An amendment has been made on maintaining a professional level in all matters and activities to include political activities.15) The requirement for membership in the Organization has been amended stating that an application and approval for membership are no longer required. Anyone having an interest in membership shall be eligible. 16) The eligibility for membership has been amended to include an associate membership. Any person who wants to join that doesnt have a business or work for a business that is a member of the Organization may apply and pay dues of $75. These members will not be entitled to vote.17) The individual lifetime members requirement to pay dues has been amended to state that if these members wish to promote their business, they will be required to pay dues.18) A clause has been added to the termination of membership clause to state that any member may cancel unpon written notice with the first 30 days and dues can be prorated back to the member under extenuating circumstances. Administrative fees will not be refunded. 19) The member expulsion clause has been amended to add additional requirements for the hearing afforded to the member to state that the Chairman of the Board will reside over the meeting along with no less than 3 Executive Board Members and that the expelled member must present any relative documentation prior to the date of the hearing. A date for the hearing will be set no less than 30 days after receiving the relative documentation for the expelled member. The decision will be made and the expelled member will be notified by certified mail.20) The special meetings clause requested from the members has been amended to reduce the percentage of members requesting a meeting from 10% to 5% and requiring the request be made by written notice to the Board. 21) The responsibility for creating committees has been amended from the Chairperson of the Board with approval of the Board of Directors to the Board of Directors and the Chairperson of each committee may be a non-voting member. The annual budget of each committee shall be submitted to the Board for review by the end of September so that it may be included in the budget for the ensuing year.22) The expenditures clause has been amended to state that all non-budgeted expenditures in excess of $1,000 must be authorized by the Board. The previous amount was $500. Except for petty cash not in excess of $300, all disbursements shall be by check, debit/credit card or autopay. 23) The annual review/audit, if required, has been amended to state that the Board shall review the annual review and audit each year and approve it by majority vote.24) The funds clause has been amended to include the option of placing funds in an interest-bearing account when excess funds are available. Members or stockholder classes and rights Part VI line 6 Any person, association, corporation, partnership or estate having an interest in the objectives of the organization shall be eligible to apply for membership. Membership classes include 1) active - engaged in business and have the privilege of voting 2) honorary - distinguished themselves for service to community with all privileges except holding office and are exempt from dues 3) individual lifetime - include but not limited to all past chairs of the board of directors with all privileges and are exempt from dues and 4) associate - are not engaged in a business and do not have the privilege of voting. In any proceeding in which voting by members is called for each eligible member in good standing shall be entitled to vote. Any member may resign by written notice to the Board of Directors. Any member may be expelled by Board by two-thirds vote for conduct unbecoming. Member election for additional members Part VI line 7a The Executive Board oversees the election process. The Executive Board and incoming Chairperson appoint no more than six members to participate in the election process in any given year. Form 990 governing body review Part VI line 11 Annually, the President/CEO reviews the Form 990. The President/CEO reviews the return for items related to the organizations mission and significant activities, financial health, executive compensation, insider transactions, types of expenses, unrelated business activity, relationships among board members and officers and lobbying and electioneering activity. Conflict of interest policy compliance Part VI line 12c The board, officers, and management employees shall exercise the utmost good faith in all transactions involved in their duties, and they shall not use their positions or knowledge gained therefrom for their personal benefit. The interests of the Organization must be the first priority in all decisions and actions. Disclosure in the Organization should be made to the Chief Executive Officer (or if she or he is the one with the conflict, then to the board chair) who shall bring the matter to the attention of the board or duly constituted committee thereof. The board or a duly constituted committee thereof shall determine whether a conflict exists and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair and reasonable. CEO executive director top management comp Part VI line 15a Annually, the Executive Board evaluates the Executive Director on his/her performance. The Executive Board obtains research and information to make a recommendation for the compensation of the Executive Director based on a review of comparability data. The data includes compensation levels and benefits for similarly qualified individuals in comparative positions at similar organizations. Upon final documentation of findings, compensation is established. All negotiation authority as to the CEOs compensation shall be vested in the Executive Board and then approved by the full Board of Directors. Governing documents etc available to public Part VI line 19 All documents as required by law will be made available to the public for review upon request. Such documents to be made available include, but are not limited to: IRS determination letter, annual reports, audits and IRS Form 990. If the request for any of these documents is made in person, the requested documents will be provided on the day of the request, if possible. If the request is in writing (including e-mail), copies will be provided within 30 days of the request. Electronic copies will not be provided.
