Free Cycles is a program of MIST. Free Cycles provides bikes, parts and help for a healthy community. 0 0 333268 0 0 FREE CYCLES: Provides bicycles, parts, tools, work space, and help for a healthy community. These services lead to increased mobility, exercise, and joy for the people who participate. Our programs are donation-based and available to people of all ages, identities, ethnicities, abilities, and income levels. Serving 20,000 people a year, Free Cycles addresses the need for sustainable and accessible transportation. Free Cycles helps the community with: Open Shop, Build-A-Bike, BikeWell Class, Youth Cycles, Civic Cyles and Social Cycles. The community shop space is open to the public during all hours of operation, Wednesday through Saturday, 10am-6pm. This is a free service, yet donations are appreciated. The Free Cycles program provides tools, parts, help and knowledge for a healthy community. 0 0 0 MIST researches, designs, collaborates, advocates and makes changes for a sustainable transportation system. We educate, grow relations and help with infrastructure changes. Form 990, Part VI, Section B, Line 12c MIST, Conflict of Interest Policy: A conflict of interest exists when the personal or professional interests of a board member or advisory committee member of MIST affect their ability to be objective. As board members and advisory committee members are likely to be affiliated with many organizations in their communities, both on a professional and a personal basis, it is not unusual for actual or potential conflict of interest to arise. This policy defines how MIST interprets conflict of interest and what steps are expected to be taken to deal with such conflicts when they occur. It is expected that no board member or advisory committee member shall use their position, or knowledge gained there from, in such a manner that a conflict arises between the interest of MIST and any of its affiliates and their personal or professional interests. Each board member or advisory committee member has the duty to place the interest of the organization foremost in any dealings on behalf of the organization, and has a continuing responsibility to comply with this policy. In order to comply with this policy, it is expected that: -If a board or committee member has an interest in a proposed transaction with MIST in the form of a significant personal or organizational financial interest in the transaction or holds a position as trustee, director, officer or staff member in such organization, they must make full disclosure of such interest before any discussion or negotiation of such transaction. -Any board or committee member who has a potential conflict of interest with respect to any matter coming before the board or the committee shall not participate in any discussion of or vote in connection with the mater unless invited to respond to questions or provide factual information by the board or committee chair. -Any board or committee member who gains privileged information by virtue of their role as a board or committee member shall not use that privileged information for personal or professional gain. This policy shall be distributed annually to board members and advisory committee members. A signature in the designated space at the bottom of this policy will indicate the board or advisory committee member's agreement to abide by this policy to the best of their ability. I have read the above statement of policy regarding conflict of interest and agree to abide by this policy to the best of my ability in my role as a board member or advisory committee member. Form 990, Part VI, Section B, Line 15 Compensation for employees is based on skills required, personal experience, available resources and industry standards. Leadership team members and Board of Directors are involved in this review on a yearly basis, with 2024 being the last review. Form 990, Part VI, Section C, Line 19 The MIST governing documents, conflict of interest policy, and financial statements are available to the public during the tax year, upon written request at the address of record. Form 990, Part IX, Line 11g A contractor was paid to make a new doorway for the shop. This also includes paying sound technicians for community gatherings. Form 990, Part XI, Line 9 Reconciliation consists of more accurate depreciation of building plus a partial forgiven loan by Missoula County. We also discovered an error in quick books from the prior year, in which some revenue was double counted (quick books error that they corrected). We will be submitting a reconciled fy 2022 f.990 in order to address that error.
