When applicable, the organization is subject to Unrelated Business Income Tax on advertising revenue in their professional newsletter. Unrelated Business Income is defined as the gross income derived from any trade or business regularly conducted and not substanially related to the organization's exempt purpose or function. The ISHRS accounts for uncertain tax positions in accordance with standards included in ASC Topic 740, Income Taxes. Management has analyzed the tax positions taken by ISHRS and has concluded that as of December 31, 2022, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. The ISHRS believes it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements. The ISHRS is subject to routine audits by taxing jurisdictions; however, there are no audits for any tax periods in progress. Only physician members may vote and hold office. Form 990, Part VI, Section A, line 7a The members of the Organization elect the Board of Governors. Form 990, Part VI, Section B, line 11b The Organization's Form 990, including significant schedules, was reviewed in detail with the Executive Committee. The information was then provided to the full Board of Governors. Each member of the Board of Governors received a copy of the Form 990 prior to the submission of the form to the Internal Revenue Service. The Form 990 was not filed until all members of the Board had reviewed and approved the Form 990. The Organization consistently monitors and enforces compliance at every Board meeting. Form 990, Part VI, Section B, line 15 The Board of Governors or designated compensation or finance committee reviews and approves the compensation of the CEO, Executive Director, and other top management official. The persons on said committee must not have a conflict with the compensation issue. The following elements of the process are required: * Use of data as to comparable compensation for similarly qualified persons in comparable position at similarly situated organization. * There must be contemporaneous documentation and record keeping with respect to the deliberations and decisions regarding the compensation arrangement.
