To that end the Primary Care and Voice programs ceased providing patient care and converted to administrative services for the purpose of connecting patients to care at other providers beginning September 1 2023. Currently the organization has given the State of Hawaii an Intent to Dissolve which the State consented to and the Organization is merely concluding outstanding business in order to effect the dissolution. Part VI, Line 4 The Bylaws of the Organization were amended substantially such that they were essentially re-written from scratch and these new bylaws were adopted by the Organization in May of 2023. In October of 2023 the Organization reversed this and re-adopted the Bylaws originally adopted in March 2022 and the Organization is governed by the March 2022 Bylaws until today. Part VI, Line 11b When 990 preparation is completed a draft of the 990 and all schedules is emailed to all Board members for review. After the Directors have had the opportunity to review it individually the full Board convenes a special meeting or adds to the agenda of a regular meeting during which the person who prepared the 990 goes over it with the full Board and allows any members to ask questions before voting on whether to accept the 990 as is or take some other action such as to request changes or corrections or to ask for some external review before filing. We had not previously put these items in our books as "assets" due to the fact that nothing we owned was worth much. We had documented the acquisition cost of items which we purchased as "expenses" so it would be "double-dipping" to claim a cost-basis now. We had actually approached an auction company and they told us they weren't interested in attempting to sell our Organization's personal property.
