Under that guidance, the Association may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Association and various positions related to the potential sources of unrelated business taxable income (UBIT). The tax benefits recognized in the financial statements from such postitions are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities for the current or prior year. Affiliate & Honorary life members have no voting rights. Pt VI, Line 7a There shall be a Board of Directors of 18 or more voting members elected from and by the membership (excluding Affiliate & Honary Members) of which 12 shall be elected from the Builder membership and 6 shall be elected from the Associate membership. In addition, 1 voting member shall be elected from each special interest council. Vacancies shall be filled by Presidential appointment, requiring approval of a majority of the remaining directors. Pt VI, Line 7b An annual meeting of the membership is held each November for the purpose of reviewing the affairs of the Association for the past year and to announce the results of the election of a Board and such other business as may come before the meeting. Pt VI, Line 11b A copy of the 990 is reviewed by the Chief Executive Officer and distributed to the Finance Committee for review and approval before it is filed. Pt VI, Line 15a The Association has a Compensation Task Force that meets each September to determine CEO compensation. The compensation recommendation is then forwarded to the Board for approval. The Compensation Committee utilizes compensation studies from the Michigan Society of Association Executives & the Executive Officer's Council of the National Assocation of Home Builders.
