As of year end, SROA had no unrecognized tax benefits related to uncertain tax positions in its information return that would qualify for either recognition or disclosure in its financial statements.SROAs policy would be to recognize interest and penalties on tax positions related to its unrecognized tax benefits in income tax expense in the financial statements. Through year end, there have been no matters that would have resulted in an accrual for interest and/or penalties. Management duties delegation Part VI line 3 There is a contract for services between SROA and Kellen Company. The management fee paid to Kellen provides compensation for its delivery of a contracted scope of services to SROA, which includes a composite of personnel, infrastructure, and technology. These fees include compensation for the services of the Executive Director who is a Kellen Company employee. Members or stockholder classes and rights Part VI line 6 Members consist of persons in the administrative area of radiation oncology, others employed by companies that offer products or services directly related to oncology, and honorary members who have rendered services to SROA. Member election for additional members Part VI line 7a Every active member has the right to appoint members of the organizations governing body. An Active Member is a person whose primary profession is one that works for or directly supports a radiation oncology service provider. Governing body decisions Part VI line 7b Changes to organizations bylaws require approval of the active membership. Form 990 governing body review Part VI line 11 Form 990 is prepared by an independent CPA firm and reviewed and approved by senior management and staff of SROA and made available to the governing body prior to submission to IRS. Conflict of interest policy compliance Part VI line 12c The Society for Radiation Oncology Administrators (SROA) expects its board of directors to devote time and attention to the business of SROA, to be loyal to SROA, to conduct itself so as to reflect well on SROA and to avoid conflicts of interest, or the appearance of conflicts of interest among the board of directors duties of loyalty to SROA is to keep confidential the affairs of SROA and to deal with others fairly, not out of favoritism or for personal advantage these are very serious obligations, which if breached, can cause great harm and damage to the SROA, its members and others therefore, SROA takes these obligations seriously, and may take action against any board member who violates these policies and duties, including dismissal or seeking damages.
