The compensation of the CEO is approved by the Executive Compensation Committee of the Board and the Board of Trustees. A market analysis is performed for all key employees on an annual basis. Once the CEO and CFO approve the final compensation figures for key employees, the CEO reports these figures to the chairperson and vice chairperson of the Board. Part I, Lines 4a-b Schedule J, Part 1, Line 4a: The Surgery Center of Greater Nashua is closely related to and operates in tandem with the Southern New Hampshire Medical Center as part of the Southern New Hampshire Health System. Accordingly, in alignment with IRS Form 990 Instructions, certain key management officers of the Medical Center are also deemed to be officers of the Surgery Center, and have been named on this Form 990, Schedule J, as well as on this Form 990, Part VII. Scott Wolf, who served as the President of the Medical Center in a previous tax year, received severance compensation during the 2022 calendar year. The severance paid to Mr. Wolf individuals is reflected in his compensation as reported on Schedule J, Part II, Column B(iii), in the amount of $332,693. As Scott Wolf did not serve this Organization or a listed related organization in any capacity during this tax year, he has been listed as a "former" officer on this Form 990, Part VII and Schedule J, in accordance with IRS Instructions. Thomas Wilhelmsen and Mark Santos were also former officers for purposes of reporting on this Form 990, Part VII and Schedule J. However, neither Mr. Wilhelmsen nor Mr. Santos received any severance compensation as reported within their 2022 Forms W-2 wages. SNHHS/SNHMC monitors compliance of its conflict of interest process, which requires completion of disclosure forms by all Leaders on an annual basis or on a reappointment basis (every two years) for medical/allied staff, to ensure full compliance. Interim disclosures are also required and reviewed should a subsequent conflict arise. Any related party disclosures require review and approval by a designated committee. Compliance reports are provided to SNHHS/SNHMC's compliance committee and Board of Trustees.
