Our network of sites saw more than 675,000 visitors in Fiscal Year 23, an increase of 46% over the previous year. In the summer of 2023, the Alexander Ramsey House reopened to the public for the first time in three years. Split Rock Lighthouse opened a new exhibit in May 2023, its most extensive programmatic update in a generation. The exhibit tells a more inclusive history of the lighthouse and Lake Superior from the perspectives of those who have lived there, including the Dakota, Ojibwe, French, and English. 13458596 28000 2022718 Education, Outreach, and Content Development: MNHS develops Minnesota history curriculum, provides teacher education, and coordinates the Minnesota History Day program. FY '23 saw a nearly 80% increase in education visitation as MNHS continues to focus on bringing school groups back into the History Center. More than 17,000 students from 150 schools across the state completed projects to participate in History Day last year. Minnesota continued its strong showing in the national competition, with 59 students representing our state and 13 projects finishing in the top ten of their category. Published by MNHS Press, Making Minnesota is a free activity book geared toward children in third through fifth grades, although it is appropriate for students- and adults-of all ages. More than 150,000 copies have been distributed since the book first became available in October 2022. Going Out, Coming In, a photographic exhibit at Mill City Museum, brought to life the sights, heart, and energy of Downtown Minneapolis's LGBTQIA+ community spaces from the 1940s to 2000. Our Native American Initiatives Department continues to work on building relationships and being an advocate for Native peoples across Minnesota and beyond. Six students learned about the museum field through our Native American Undergraduate Museum Fellowship, and two artists shared their understanding of Native art through the Native American Artist in Residence program. 9994044 0 1634418 Library and Collections: Our library and collections departments maintain and make available to the public the MNHS' collection of books, newspapers, maps, objects, photographs, works of art, oral history recordings, private manuscripts, and periodicals on Minnesota history. MNHS catalogs, restores, and digitizes documents and records to make them available for public use. The Minnesota Digital Newspaper Hub added 738,389 pages of both current and historic newspapers. With this boost in content, the Hub reached 5,545,548 pages in June 2023. Notable additions to the MNHS collections in FY23 include more than 250 pieces of original art and production materials from WA Fisher maps. MNHS also received seven pieces of late 19th and early 20th century MN art by Alexi Fournier, Cameron Booth, and other well-known MN artists thanks to an anonymous donation. 9242604 7543044 0 Heritage Preservation: Our Heritage Preservation department provides technical assistance and grants for historic preservation, administers grant programs supporting projects in preservation and interpretation of Minnesota history, and administers the National Historic Preservation Act in Minnesota. In FY23, statewide preservation saw more than $6.0M awarded in Arts and Cultural Heritage Fund monies awarded through 161 Legacy grants to 140 organizations in 60 counties across Minnesota. These grants serve many purposes across the entire state, including historic preservation, education and programming, digital preservation, archaeology, exhibits, inclusion and community engagement, State of Minnesota. As a result, there are activities that are performed that may be construed as lobbying activities. The MNHS maintains a presence on the world wide web, which includes a dedicated MNHS website, which then includes a webpage dedicated to legislative updates, the status of our appropriations, and at times a call to members and the public to contact their local legislators in support of MNHS' appropriations a/o pending legislation. Our website includes a program that allows the public to search and directly contact their representatives and other state leaders. In FY 23 the MNHS spent $5,512, as reported in Part II-B, Line 1(i) on programs to contact legislators. In addition, MNHS employees a Director of Public Policy and Government Relations whose primary function is to act in an administrative capacity in providing budgetary information to the State of Minnesota and to act as a legislative liaison as needed. At times this position may have direct contact with members of the legislative body or the public in a manner such that the activity could be construed as lobbying. MHNS has employed a lobbying firm to represent MNHS and its interests at the Minnesota State Capitol to help advance specific legislation. Lobbying activities represent an insignificant amount of MNHS' annual operating expenditures. Form 990, Part VI, Section A, Line 1a The MNHS Governing Body (The Executive Council) has broad authority over governance of the Minnesota Historical Society. Under the MNHS bylaws the Executive Council has the authority to create and delegate its authority to an Executive Committee as outlined in Article VII, Section 1 of the bylaws - Executive Committee: The Executive Council may create an Executive Committee consisting of the officers of MNHS and not more than seven (7) other members of the Executive Council. The Executive Committee shall have charge of and transact the business of MNHS under the direction and subject to the approval of the Executive Council. The Executive Committee shall possess all powers of the Executive Council when the latter is not in session. In addition, the full charge of the Executive Committee is as follows. The Executive Committee oversees MNHS's work on behalf of the Executive Council between the Council's meetings. The Executive Committee may receive reports from other committees, may guide the work of the Executive Council and its committees, and may take actions that require timely action. The Executive Committee also may provide advice and guidance to the Director and CEO on personnel matters and operations. The Executive Committee shall not have the authority to: revise the MNHS bylaws, approve or make changes to the annual budget, purchase or sell major assets (generally, property valued over $100,000), make changes to the mission or strategic plan, elect or remove Executive Council members, hire or fire the director and CEO, or make major structural decisions, without the prior authorization of the Executive Council. This committee will meet at least three times a year. Form 990, Part VI, Section A, Line 6 MNHS has one class of membership, which is the body of dues paying members. Members have the right to vote on and approve a slate of candidates for Director(s), as put forth by the Governance Committee at the MNHS' annual meeting. The membership does not approve of significant decisions made by the governing body. Form 990, Part VI, Section A, Line 7a Dues paying members (the membership) have the opportunity to vote on and approve the slate of candidates for Director(s) as put forth by the MNHS' Governance Committee at the MNHS' annual meeting. Form 990, Part VI, Section B, Line 11b The annuat tax return, IRS Form 990, is prepared internally by MNHS' Finance Department. The 990 goes through an extended internal review process within the Finance Department and depending on any concerns or emerging issues, the 990 may also go through an in-depth review by an independant tax consultant. Once these reviews are completed, the 990 is presented to MNHS' joint Finance and Audit Committee for their review and approval. Once approved by this committee, the 990 is submitted to MNHS' Executive Council/Committee for discussion, final review and approval. Upon final approval by the Executive Council/Committee the 990 is electronically filed with the IRS. Form 990, Part VI, Section B, Line 12c All Board Members and Officers are subject to a conflict of interest policy which sets out that transactions, in which they may have a material interest are to be undertaken (if at all) only after disclosure of the conflict, notice in full to the Board of the contemplated transaction along with the nature of the conflict, and requiring action in favor of the transaction to be effected by the majority of the entirety of the Board not including the member(s) whose interest is involved. The office of the Director & CEO is responsible for maintaining and monitoring that a new Board member(s) submit a statement of acknowledgement that they will comply in full with MNHS' code of conduct, which includes the institution's conflict of interest policy. The office of Director & CEO performs this review annually. Form 990, Part VI, Section B, Line 15 The annual compensation for the Director and Chief Executive Officer, S Kent Whitworth, which covers the period ending 6/30/23, was reviewed by the Compensation Committee, which is part of MNHS' governing body. The compensation review includes a review of the terms of the written employment contract, comparisons based on surveys of local comparable not-for-profit organizations, the overall pay plan for the organization and a performance evaluation.
