KHM is an active presence in the community as an essential and beloved facility. It is the only historical society focused on the full scope of Kodiak history. KHM aims to preserve, intepret, and share the history of its Kodiak island and its communities through exhibits, programs, and facilitating research in our collections. The Museum is located within the National Historic Landmark building known as the Russian-american Magazin, the oldest building in Alaska and the earliest existing Russian structure in America. Pt VI, Line 6 The Kodiak Historical Society has around 200 dues-paying members in a single class. Annual dues amount to $20. Membership benefits include free year-round admission to the Kodiak History Museum, a subscription to the monthly newsletter, and one vote in the annual Board of Directors election. For those interested in joining, the Kodiak History Museum offers additional perks such as unlimited admission for family members, special events, and reciprocal membership to partner museums through the North American Reciprocal Museums Association. Pt VI, Line 7a All dues-paying members are entitled to one vote in the annual election of the Board of Directors, which takes place annually in October. Pt VI, Line 7b For any proposed amendments to the by-laws, dues-paying members are entitled to one vote. Pt VI, Line 11b The Form 990 was submitted to the KHS Executive Director, who will review it with the President before signing. Pt VI, Line 12c During the first board meeting following the annual election, board members review the Code of Ethics and the accompanying Conflict of Interest policy. They disclose any potential conflicts of interest at that time, as well as whenever a potential conflict becomes a matter of board action. All conflicts and potential conflicts are recorded in the board meeting minutes. Pt VI, Line 15a The Executive Directors compensation was determined by the Board of Directors through consultation with independent individuals and examination of comparable data. The Executive Director undergoes an annual evaluation, during which compensation is discussed as part of the evaluation process. No officer on the Board of Directors receives compensation. Pt VI, Line 18 The organization makes its from 990 and financial statements available upon request. Pt VI, Line 19 Our financial statements appear in our annual report, which is distributed during our annual meeting in October and is also available throughout the year at the museum.
