Board members and management employees are required to complete and return a conflict of interest disclosure statement and to update on an annual basis. Form 990, Part VI, Section B, line 15a The executive committee must determine before the compensation of the executive offficer is changed, that the complensation to be paid to the officer is reasonable. The executive committee must compare the compensation to be paid to the office with the compensation paid to equivalent executive officers from charitable service organizations operating in areas that have comparable revenues, employees and service populations. Once the executive committee has determined an officer's compensatio or an increase to the officer's compensation is reasonable, the executive committee will prepare a written report to the board documenting its decision.
