This analysis is documented by the independent compensation consultant and presented to the VCSS Board of Directors for review, deliberation and approval at a closed session Board meeting. Minutes of the review and approval are recorded and maintained. The compensation study factors in the dual roles held by Dr. Scott in both VCSS and HOS Foundation. Part II, Column A, Row 1: Doug Scott serves as the CEO of Helping Others Soar Foundation (HOSF). Victor Community Support Services (VCSS) administers the payment of his compensation for this role, and VCSS is reimbursed by HOSF. The Board of Directors of HOSF approves of the CEO's compensation in an annual Memorandum of Understanding with VCSS for administrative services. The amount for the reporting period was $120,000. Doug Scott also served as President of VCSS, and his compensation from VCSS for the reporting period was $208,105. Form 990, Part VI, Section A, line 7a Victor Treatment Centers and Victor Community Support Services can appoint members of the Helping Others Soar Foundation Board. The draft Form 990 is reviewed by the Board Chair with agency staff and the agency audit firm which prepares the Form 990. Any questions are discussed and resolved. It is then available to Board members before being filed. After this review, the Form 990 is filed. Each year, the Board of Directors reviews the conflict of interest policy, and has each Board member sign a document that either discloses any possible conflict of interest, or states no such relationship exists. Any related party transactions are also reviewed and discussed as a part of the independent audit. Any actual or potential conflicts are discussed and decisions made related to their appropriateness.
