To partake in the services of the senior center individuals do not need to be a member. Member election for additional members Part VI line 7a Members meet once a year at the Annual Meeting in November to confirm newly placed or renewing members of the Board of Directors. Members may also nominate candidates. 10% of the membership must be present to qualify as a quorum. Governing body decisions Part VI line 7b Members vote for Board of Directors and must approve changes to the bylaws. Form 990 governing body review Part VI line 11 All Board members will be emailed a copy of the 990 prior to its filing for their review and comment. Conflict of interest policy compliance Part VI line 12c Each year Board members sign the conflict of interest policy. Copies of these forms are kept by the Executive Director. If a conflict arises a Board Member must fully disclose their conflict of interest as soon as the conflict arises, and the Board must then determine whether an actual conflict exists. Should the Board determine a conflict or potential conflict exists, the Board at its sole discretion may limit the nature of his/her subsequent duties by having the Board Member: (1) refrain from engaging in the discussion of the action under consideration and/or (2) not be present during the discussion or the action with which the conflict exists; and/or (3) recuse themselves from any vote on the action before the Board or any of its committees. Any such disclosures, along with the Boards determination of conflict and action taken, should be recorded in the minutes.
