Form 990, Part VI, Section B, Line 12c At the beginning of each Board Meeting the President or his/her designee shall read out loud the "Declaration of Conflict of Interest" to all members present. The declaration states, "If a Board Member has a conflict of interest (personal, professional, or financial) relating to an item on the agenda, RI policy requires the member to recuse him/herself from discussion and vote and, if appropriate, to leave the room during discussion." The President, or his/her designee, shall ask all board members present if anyone foresees a conflict of interest. The President, or his/her designee, will state hearing none, "we will move on to the next item on the agenda." If any board member states they foresee a conflict of interest with any item on the agenda, they must follow the Declaration. In the final board minutes this process and any possible conflict of interest shall be noted.
