They pay dues to the Organization and in return receive a wide range of services. The Board of Directors consists of the 26 members, community action agency representatives. All members have a vote on Board of Directors/governance issues. In each odd number year, the members of the board elects the officers. Form 990, Part VI, Section A, line 7a The Board of Directors consists of the chief executives of each member agency, which are selected by the respective agencies. Form 990, Part VI, Section B, line 11b The Finance Commitee reviews the Form 990 and makes a recommendation to the Board of Directors prior to filing. The Board acts on this recommendation. Form 990, Part VI, Section B, line 12c Annually, the board members, officers, and key employees disclose in writing potential conflicts of interest to the Board of Directors. The Board has a detailed policy on what to do if conflicts should arise. Form 990, Part VI, Section B, line 15a The Executive Committee negotiates employment terms and conditions for the Executive Director and makes recommendations to the Board of Directors. The Executive Committee has the ability to delegate certain functions to a search committee in the event of an Executive Director vacancy. Employment terms and conditions for the Executive Director recommended by the Executive Committee are then subject to the full Board of Directors approval.
