All members loans were sold to another credit union and the members were paid a final dividend during December 2021. Form 990, Part VI, Section A, Line 6 Credit union had 168 members Form 990, Part VI, Section A, Line 7a Credit Union Members elect the Board of Directors at the annual meeting each year. Each year 2-3 director positions are up for election. The Board of Directors may consist of up to 7 directors. Form 990, Part VI, Section B, Line 11b Copy of 990 tax Return is emailed to each Board member prior to the filing. Form 990, Part VI, Section B, Line 12c Board of Directors take an oath of office every year and any disclosures are made at such time. Form 990, Part VI, Section B, Line 15 Board of Directors determines compensation Form 990, Part VI, Section C, Line 19 Governing documents, oath of office documents, conflict of interest policy, IRS Form 990 are available for review at the Credit Union's office during Credit Union office hours. The credit union's monthly financial statements are posted in the credit union lobby for public viewing after it is approved by the Board of Directors Form 990, Part XI, Line 9 2022 net expenses which accrued in accrued expenses We did file an form 8868 extension which was approved to be filed on 11-15-2023. On 11-13-2023 a pipe in our office broke which flooded entire building. Since the office has been closed and I was still recovering from a fall in which I fractured my spine I was not going into the office very often during 2023 because I could not sit for any period of time. As a result the water flooded the entire building for approximately 2-3 days before it was discovered by me on 11-13-2023. At that point we had to implement an emergency plan to pack & store all of the credit union records off site because the building was not usable any longer & the landlord was not going to make repairs. Because of this records preservation had to be priority & the 2022 tax return had to be placed on hold. It has taken us months to move everything to a secure storage facility. I realize you have the right to penalize me monthly for each month this return was late but I am hoping our record of never having submitted a late return in 50 years could please allow us some grace on your part in waiving the penalties. We are in the final wind down process of the credit union & it is our plan to complete everything in 2024. My spinal fracture has honestly delayed our completion as well as the flood but we are now past these issues & moving forward to completion. I can be reached at 602-625-6416 if you have any questions
