The Executive Committee shall have only that authority specifically delegated to it by the Board and the authority to act on items of Chamber business which cannot be postponed until the next Board meeting. The Executive committee may act for the board of Directors when the Board is not in session, but it shall be accountable to the Board for any action taken. Conflicts and measures to be employed to address conflicts are identified by the Board of Directors. Said measures may include, among other things: (1) removal of the member for the duration of the discussion, (2) allowing the member to attend the discussion, but prohibiting the member from participating in discussion or voting, or (3) allowing the member to fully paricipate in discussions and vote on such matters. If it is determined a member has failed to disclose actual or possible conflicts of interest the board may take appropriate disciplinary and correction action.
