Interest and gains from these funds may be used for the operations of the organization. Form 990, Part VI, Section A, Line 7a Members in good standing can vote at our Annual Meeting to elect members of the Board of Trustees. Form 990, Part VI, Section B, Line 11b The Board of Trustees discusses the return at Board Meetings and the Officers and the completed return is posted on a shared Internet location for all Board members to review. In addition, the completed return is posted on the organization's public website for public viewing. Form 990, Part VI, Section B, Line 12c The Southborough Open Land Foundation has all trustees complete a questionnaire to confirm that they have had no conflicts of interest in the previous year at a board meeting after the annual meeting each year. We also review the conflict of interest policy at this time and require that all board members sign the policy. In keeping with this policy, each trustee is required to: 1. Disclose to the board the existence of any actual, potential, or preceived conflict of interest. 2. Abstain from discussing with board members, employees, or committee members, any issue, matter, or transaction in which he or she has an actual, potential, or perceived conflict of interest unless specifically asked by the board or a board committee to give information on the issue, matter or transaction. 3. To absent himself or herself from board and committee discussions on any issue, matter, or transaction involving a conflict of interest, unless requested by the board or committee to give information on the issue, matter, or transaction. 4. Abstain from voting on any such issue, matter, or transaction. 5. When requested by the board, to resign from the board of trustees, advisory board, or committee, until such time as the matter giving rise to the conflict of interest has been resolved, when, in the opinion of the board president, the matter has been sufficiently resolved, the trustee may be invited to rejoin the board, advisory board, or committee. Form 990, Part VI, Section C, Line 19 The organization's Articles of Incorporation, By-Laws, and Conflict of Interest policy is available on the Organization's public website. Form 990, Part XII, Line 1 In previous years the Form 990 was prepared by an Accountant. He recorded the accounting basis as Cash although he also recorded accruals such as Accounts Receivable and Accounts Payable - which was as recorded in our records since we maintain our books on an Accrual basis. This year I am adjusting the return to specify Accrual Basis to match how we maintain our financial records. (The impact is very small either way).
