Additionally, any CPA in the country or living abroad may join; they are in their own membership category. Form 990, Part VI, Section A, line 7a Bylaws allow for voting members of the Society to elect Board of Governors members at the annual meeting. A Governor holds office for a term of two years from the first day after which they are elected, and shall be eligible for re-election to a second two year term if recommended by the Nominating Committee. Form 990, Part VI, Section A, line 7b All minutes are public and accessible to members. Members affirm Board member and officer elections annually. Form 990, Part VI, Section B, line 11b A draft of the Form 990 is reviewed by the Audit Committee and management and a copy provided to the entire Board of Directors prior to filing. Form 990, Part VI, Section B, line 12c Members of the Board of Governors are asked to review and sign the conflict of interest policy indicating any potential conflicts at the commencement of their terms. These records are kept on file in the Society offices and reviewed by management for conflicts. Form 990, Part VI, Section B, line 15 The Board surveys salaries of other state CPA executives as well as comparables based on nonprofit organizations of similar nature, size and geographic location. They perform both a written and oral performance evaluation of the Executive Director, annually, after soliciting input from the Board, staff, members and partners, and then they vote on a recommended compensation adjustment at the Executive Commttee meeting.
